Business Transactions: Drafting and Bargaining (2 credits)

The purpose of the class is to teach students how to draft contracts for business transactions. This is a hands-on skills class, in which topics will be introduced through lectures and reinforced through a series of contract drafting assignments. The topics covered include, how to: identify the business goals of your clients and identify the relevant legal issues; draft contract provisions that will reduce the risk of future conflicts and litigations, and that are amenable to modification, if the need arises; and identify and customize provisions from analogous contracts to use in new transactional contexts. Students will also learn various bargaining techniques, aimed at helping your client achieve her objectives while reducing the risk of bargaining breakdowns and avoidable conflicts.
