The extern will work with senior internal counsel for Schneider Electric, a global company specializing in energy management and solutions, and will gain experience in some or all of the following: mergers, acquisitions, divestitures, and joint ventures. Additionally, the extern may be able to observe and support financing activities.

In general, externs will draft and negotiate confidentiality agreements, review and comment on acquisition documents (including purchase agreements, prospectuses, schemes of arrangements, employment agreements, schedules, leases and other ancillary documents), review financing documents, sit in on (and perhaps participate in) internal and external group conference calls related to transactions (at which the attorneys will discuss strategy and/or negotiate documents), conduct due diligence and draft portions of due diligence memos, prepare and track transaction checklists (relating to all key elements of the transaction), help coordinate antitrust filings in multiple jurisdictions, assist with regulatory and transactional issues related to cross-border transactions.
